Cendaro is a business-use service. Customers keep ownership of customer and business data, including imported and exported operational records, remain responsible for lawful communications and consent practices, and should review AI-assisted output before relying on it for customer-facing use.
1. Agreement to Terms
These Terms of Service form a binding agreement between you and Cendaro regarding your access to and use of the Cendaro website, platform, software, workflows, automations, content, and related services. If you are using Cendaro on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.
2. The Cendaro Service
Cendaro provides software and workflow tools designed to help service businesses capture inquiries, manage follow-up, assign ownership, create bookings, track outcomes, and review revenue-related activity. The Service may include lead intake, customer profiles, customer messaging tools, AI-assisted suggestions, booking workflows, customer self-service confirmation, rescheduling and cancellation links, import and export workflows, reporting, and administrative controls.
3. Business Use, Eligibility, and Authority
Cendaro is intended for business use. You may use the Service only if you are legally able to enter into a binding agreement and are using the Service for lawful business purposes. If you use the Service for a business, you are responsible for ensuring that all users under that workspace comply with these Terms.
4. Accounts and Workspace Access
You are responsible for maintaining the confidentiality of login credentials and for all activity that occurs under your account or workspace. You must provide accurate account information and promptly update information if it changes. You may not share credentials in a way that compromises the security or integrity of the Service.
5. Team Members and Role Permissions
Workspace owners may invite managers and team members. Each user should have their own account. You are responsible for assigning appropriate roles and permissions and for removing or disabling access when a user should no longer access the workspace.
6. Customer Data and Business Records
You retain ownership of customer data, lead records, customer profile records, booking information, notes, messages, files, import payloads, exports generated from your workspace data, and other business information submitted to or generated through the Service for your use. You grant Cendaro a limited right to process such data as necessary to provide, secure, improve, and support the Service. You are responsible for ensuring that you have the necessary rights, permissions, notices, and consents to submit customer and business data to Cendaro.
7. AI-Assisted Features and Automation
The Service may include AI-assisted drafting, suggested replies, summarization, classification, workflow recommendations, and automation support. AI-assisted output may be incomplete, inaccurate, or unsuitable for a specific situation. Human review is recommended for customer-facing AI output, bookings, quotes, and business decisions before reliance.
8. SMS, Email, and Customer Communications
If you use Cendaro to send SMS, email, booking links, or other customer communications, you are responsible for ensuring that such communications comply with applicable laws, consent requirements, identification requirements, unsubscribe requirements, and customer communication rules. Cendaro may provide tools to help manage communication workflows, consent evidence, and secure booking-management links, but responsibility for the content and lawfulness of those communications remains with you.
9. Trials, Plans, Billing, and Payment
Cendaro may offer free trials, paid plans, usage limits, billing cycles, and commercial terms through pricing pages, order forms, checkout flows, or separate agreements. You agree to pay all applicable fees, taxes, and charges for the plan or services you select. Free trial access is for business use only, no credit card is required unless stated otherwise, and trial limits may apply.
10. Cancellation, Suspension, and Termination
You may cancel according to the cancellation process provided in the Service or applicable commercial terms. Cendaro may suspend or terminate access if you misuse the Service, fail to pay, create legal or security risk, violate these Terms, or if continued access may harm Cendaro, customers, users, or third parties.
11. Acceptable Use
You may not misuse the Service, interfere with platform operations, attempt unauthorized access, upload malicious code, scrape or reverse engineer the Service, send unlawful or abusive communications, misrepresent your identity, or use the Service in a way that violates applicable laws, third-party rights, or these Terms.
12. Third-Party Services and Integrations
The Service may connect with third-party providers such as communications services, payment processors, hosting providers, analytics tools, calendar services, email providers, or AI infrastructure. Cendaro is not responsible for third-party services that it does not control. Your use of third-party services may be subject to their separate terms and privacy policies.
13. Intellectual Property
Cendaro and its software, branding, workflows, designs, content, documentation, technology, and related materials are owned by Cendaro or its licensors. These Terms of Service do not transfer ownership of Cendaro intellectual property to you. You receive only a limited right to use the Service in accordance with these Terms.
14. Feedback
If you provide feedback, suggestions, ideas, or recommendations, you grant Cendaro the right to use them without restriction or compensation for the purpose of improving, developing, and commercializing the Service.
15. Confidentiality
You may receive access to non-public information about the Service, including features, pricing, technical information, or business information. You agree to protect confidential information and not disclose it except as required to use the Service or as required by law.
16. Privacy
Cendaro's collection, use, disclosure, retention, and protection of personal information is described in the Privacy Policy. By using the Service, you acknowledge that personal information may be processed according to the Privacy Policy.
17. Service Availability and Changes
Cendaro may modify, suspend, discontinue, or improve parts of the Service at any time. Cendaro does not guarantee uninterrupted or error-free availability. Planned maintenance, emergency maintenance, third-party outages, and operational issues may affect availability.
18. Disclaimers
The Service is provided on an as-is and as-available basis to the maximum extent permitted by law. AI-assisted suggestions, workflow outputs, and operational recommendations are provided for support purposes and should be reviewed before reliance.
19. No Revenue Guarantee
Cendaro does not guarantee recovered revenue, booked jobs, customer conversion, lead recovery, or any specific business outcome. Platform workflows are designed to support operations, not to promise financial results.
20. Limitation of Liability
To the maximum extent permitted by law, Cendaro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings. Cendaro's total liability will be limited to the amounts paid for the Service during the period stated in the applicable commercial terms, or another amount required by law.
21. Indemnification
You agree to defend, indemnify, and hold harmless Cendaro from claims, damages, liabilities, losses, and expenses arising from your use of the Service, your customer communications, your submitted data, your violation of these Terms, or your violation of applicable law or third-party rights.
22. Governing Law
These Terms of Service are governed by the laws specified in Cendaro's applicable order form or, if no order form applies, the laws of the jurisdiction where Cendaro operates, excluding conflict-of-law rules. Any dispute will be handled in the courts or dispute forum specified by applicable law or commercial terms.
23. French Version and Language
Where required by applicable law, Cendaro may provide French versions of these Terms and related documents. If you are located in Québec or otherwise entitled to receive French-language documents, you should review the French version before choosing to use another language version.
24. Changes to These Terms
Cendaro may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date and version number. Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.
